Terms of Service

These Terms of Service ("Terms") govern your access to and use of Director's Studio (the "Service"), operated by Arctoria LLC ("Arctoria", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who we are and what the Service does
Arctoria LLC builds Director's Studio, a creative-planning tool for filmmakers and storytellers. It turns a screenplay into a structured project and generates model-tailored prompts so you can keep every shot on-story and on-style. Director's Studio does not itself render images or video; you generate with third-party AI models of your choice.
2. Accounts and eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
3. Subscriptions and billing
Paid plans and usage credits are billed through our payment processor, Stripe. By purchasing a plan or credits you authorize the applicable charges. Subscriptions are billed monthly in advance and renew automatically until cancelled; credit packs are a single one-time charge and do not renew. Current pricing, plan tiers, and credit amounts are published at arctoria.com/pricing and set within the product, and may change over time; this document does not fix any price.
4. What credits are
Credits are the unit we use to meter the AI computation the Service performs on your behalf — reading a screenplay, extracting scenes and characters, writing a prompt. Different operations consume different amounts, so we meter in credits rather than charging per action. Credits are a usage allowance for our own service, in the way a software plan includes a number of API calls. Specifically:
- credits are issued, held, and honored solely by Arctoria LLC, and can only be consumed within the Service;
- credits have no cash or monetary value, and are never redeemable for cash, for goods, or for anything outside the Service;
- credits are not transferable between customers and cannot be resold, exchanged, or gifted from one user to another; the Service provides no mechanism to do so;
- credits expire — monthly plan credits reset at each renewal and do not roll over, and credits from a purchased pack expire three months after the date of purchase;
- credits are not a deposit, a balance, or an account of your money, and are not a gift card, prepaid card, stored value, in-game currency, or any kind of digital token or cryptocurrency.
5. Cancellation and refunds
You may cancel a subscription at any time from the billing portal in your account settings. Cancellation stops the next renewal; your access continues to the end of the period you have already paid for, and is not prorated or refunded for the remainder of that period. Closing your account entirely is covered in the Termination section below.
Except where required by law, or where we have expressly stated otherwise at the point of sale, payments are non-refundable, and credits are non-refundable. If something has gone wrong with your account or with a charge, contact us at director@arctoria.com before disputing it — we would rather resolve it with you directly.
6. Acceptable use
You agree not to use the Service to:
- break the law or infringe anyone's intellectual-property or privacy rights;
- create content that is unlawful, or that depicts the sexual abuse or exploitation of minors;
- attempt to reverse-engineer, disrupt, overload, or gain unauthorized access to the Service or its systems;
- resell or misrepresent the Service, or violate the terms of the third-party model providers you connect to.
7. Your content
You own the scripts, characters, world material, and generated prompts you create in the Service ("Your Content"). You grant Arctoria the limited license needed to host, process, and display Your Content solely to operate and provide the Service to you. We do not use Your Content to train any AI model, ours or anyone else's.
8. Our intellectual property
The Service itself, including its software, design, and the Arctoria and Director's Studio names and marks, is owned by Arctoria LLC and protected by intellectual-property law. These Terms grant you no rights in our marks or software beyond the right to use the Service as permitted here.
9. Third-party model providers and generated output
When you generate images or video, you do so through third-party AI model providers. Your use of those providers is governed by their terms, and what you may do with the output they produce is subject to those terms and to applicable law. Arctoria does not control and is not responsible for third-party providers or their output.
10. No warranty on AI output
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. AI-generated prompts and any downstream output may be inaccurate, inconsistent, or unsuitable for your purpose. You are responsible for reviewing and deciding whether to use any output.
11. Limitation of liability
To the fullest extent permitted by law, Arctoria LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars.
12. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will survive.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the "Last updated" date above and, where appropriate, notify you. Continued use of the Service after changes take effect means you accept the revised Terms.
14. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
